Terms of Use and End-User License Agreement
These Terms of Use (the "Terms") are an agreement between you and [OWNER: developer legal name] ("we", "us"), the developer of Insider Ledger. They cover the Insider Ledger app for iOS and Android, Insider Ledger Pro, and the website insiderledger.boralabs.app (together, the "Service"). By downloading or using the Service you accept these Terms. If you do not accept them, do not use the Service.
1. Information only, not investment advice
Insider Ledger summarizes public filings made with the U.S. Securities and Exchange Commission. It is for information only and is not investment, legal or tax advice, or a recommendation to buy, sell or hold any security. Filings can be late, amended or wrong, and our summaries can contain errors; always check the original filing. Insider Ledger is not affiliated with or endorsed by the SEC or any company shown.
Notice under Turkish law.
Content in Insider Ledger is general information. It is not investment advisory activity within the meaning of Turkish Capital Markets Law No. 6362, and it does not take into account your financial situation, risk appetite or preferences.
The short form of this notice, shown on briefs, company and filing pages, share cards and the web, is: "Information only. Not investment advice."
How the content is made. Insider Ledger is a publisher of general information about public filings:
- The same content (feeds, Unusualness scores, red-flag and key-event tags, AI summaries) is computed in the same way for every user. Personalization is limited to which companies, insiders and alert rule filters you choose.
- Instant alerts and rule alerts are plain factual notices of a filing: who, role, what, amount, form, the time it was filed, and a link. They carry no score, level or commentary.
- Scores appear only in-app (brief, feeds, watchlist rows, company, insider and filing pages), never in pushes.
- There is no human or AI advice, and we publish no price targets of our own.
The Unusualness score. The app's methodology sheet describes the score, and shows its formula, as follows:
A fixed score built from role, size, holdings change, first purchase and clustering (formula below). It is not compared with market data, does not predict price moves and is not a recommendation.
AI summaries. Some 8-K summaries are generated by AI and always carry this label: "AI-generated summary. It may contain errors. Check the original filing." AI text is never published on the website or in share images.
You are solely responsible for your investment decisions. Talk to a licensed professional before acting on any information.
2. What the Service is
Insider Ledger reads insider filings (Forms 3, 4 and 5) and 8-K filings from the SEC's EDGAR system and explains them in plain English, with a link to each original filing. It also shows late-filing notices (NT 10-K and NT 10-Q), and lists 10-Q, 10-K and proxy statement (DEF 14A) filings without summaries. It is not a trading app, a broker, an investment adviser or a complete record of everything filed with the SEC. Some companies, such as foreign private issuers that file 6-K or 20-F reports, are not covered in this version.
We process filings as soon as we can after the SEC publishes them, but delivery times depend on the SEC, our servers, push services and your device. We make no promise that you will receive any information by a particular time, or before anyone else.
The Service is free to use. Insider Ledger Pro adds instant alerts, alert rules, filters and full history, the evening brief, more companies and followed insiders, and AI summaries for more companies.
3. Who can use Insider Ledger
You must be 18 or older (or the age of majority where you live) to use Insider Ledger Pro. You may use the free Service only if you are old enough to agree to these Terms where you live. You must not use the Service where doing so is against the law that applies to you.
4. Insider Ledger Pro subscriptions
- Billing. Insider Ledger Pro is sold as an auto-renewing subscription through the App Store or Google Play, which act as the seller and collect payment and any sales tax. The price, billing period and any free trial are shown in the app before you confirm the purchase.
- Payment and renewal. Payment is charged to your Apple Account or Google Play account when you confirm the purchase (with a free trial, when the trial ends). Subscriptions renew automatically unless canceled at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the end of the current period.
- Free trials. A free trial is offered only to eligible new subscribers, as shown in the app. If you cancel during the trial, you are not charged.
- Cancel or manage. Manage or cancel in your Apple Account settings or in Google Play subscriptions. Deleting the app, or using Delete my data, does not cancel a subscription.
- Refunds. Refunds are handled by Apple or Google under their own policies. We cannot issue refunds for store purchases.
- Restore. Use "Restore purchases" in the paywall or in Settings to apply an active subscription to a new device.
- When Pro ends. If a subscription lapses, your data is kept: companies and followed insiders beyond the free limits become inactive and alert rules are paused until you subscribe again or remove entries.
- Price changes. We may change prices. Apple or Google tell you in advance and, where the law or their rules require it, ask for your consent.
5. Your license to use the app
We grant you a personal, limited, non-exclusive, non-transferable, revocable license to download and use the app on devices you own or control, for your own non-commercial use, under these Terms and the rules of the store you got it from. We keep all rights not expressly granted. You may not copy, modify, sell, rent, sublicense or distribute the app, or decompile, reverse engineer or try to extract its source code, except where the law allows this despite these Terms.
6. Acceptable use
You agree not to:
- scrape, crawl or bulk-download the API or the website, or use them to build a competing data service, beyond normal personal use and normal search-engine indexing of the website;
- get around rate limits, Pro checks or other technical limits, or interfere with the Service or its servers;
- republish AI summaries or present Insider Ledger content as investment advice or as your own analysis;
- send false or abusive filing reports, or use the Service to harass anyone named in a filing.
7. Accuracy, AI summaries and corrections
We show data as filed: amounts, dates, transaction codes and names come from the filings. Filings can be late, amended or wrong, and our parsing, labels, scores and summaries can contain errors. An amended filing (such as a Form 4/A) can replace rows of the original. Every card links to the original filing on sec.gov; check it before relying on any information.
Use "Report a problem" on any filing, or "Report this summary" on any AI summary, to tell us about a mistake. We review reports every week and fix parsing errors, usually within 2 business days. AI summaries that receive repeated reports may be hidden while we review them.
8. Data sources and third-party services
Filing data comes from SEC EDGAR public filings. Insider Ledger is not affiliated with or endorsed by the U.S. Securities and Exchange Commission. AI summaries are generated by Anthropic's Claude from the public filing text only. Links to sec.gov and other websites are provided for your convenience; we are not responsible for third-party websites or services. If market data is added in a later version, its provider will be named in the app.
9. Intellectual property
The app, the website, their design and our own text are ours or our licensors' and are protected by intellectual property laws. Public filings belong to the public record. Company names and ticker symbols are used only to identify the companies whose filings are shown; Insider Ledger uses no company logos and no SEC seal.
10. Conflicts of interest
Team members may hold securities mentioned in Insider Ledger; they do not trade around alerts. Our internal policy: team members do not trade a security within 24 hours of an alert or brief item about it, and never trade on anything seen before users are notified.
11. No warranty
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of accuracy, completeness, timeliness, merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or that any alert will be delivered. Some places do not allow these exclusions, so some of them may not apply to you.
12. Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any trading or investment losses, lost profits or lost data, arising from your use of, or inability to use, the Service or any information in it. Our total liability for any claim relating to the Service is limited to the amount you paid for Insider Ledger Pro in the 12 months before the claim, or USD 50 if you paid nothing. Nothing in these Terms limits liability that cannot be limited by law, such as for intent or gross negligence where that rule applies, or your rights under mandatory consumer law.
13. Ending your use
You can stop using the Service at any time and delete your data in Settings → Delete my data. We may suspend or end access for anyone who breaks these Terms or misuses the Service. Sections 1, 7 to 12 and 15 continue to apply after your use ends.
14. Changes
We may change the Service and these Terms. We will post changes on this page with a new date and, for material changes, tell you in the app before they apply. If you keep using the Service after a change applies, you accept the new Terms.
15. Governing law
These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-law rules. This does not take away the protection of mandatory consumer laws of the country where you live, or your right to bring a claim in your local courts where those laws allow it.
16. Apple App Store additional terms
If you got the app from Apple's App Store, these additional terms apply, and they prevail over anything else in these Terms where they conflict.
- Agreement between you and the developer. These Terms are concluded between you and us (the developer) only, and not with Apple Inc. ("Apple"). We, not Apple, are solely responsible for the app and its content.
- Scope of license. Your license to use the app is limited to a non-transferable license to use it on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may also be accessed and used by other accounts associated with you through Family Sharing or volume purchasing.
- Maintenance and support. We are solely responsible for providing any maintenance and support for the app, as described in these Terms or as required by law. Apple has no obligation whatsoever to provide any maintenance and support services for the app.
- Warranty. We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app (if any) to you. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the app, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are our sole responsibility.
- Product claims. We, not Apple, are responsible for addressing any claims by you or any third party relating to the app or your possession and use of it, including: (i) product liability claims; (ii) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy or similar legislation.
- Intellectual property claims. If a third party claims that the app or your possession and use of it infringes that third party's intellectual property rights, we, not Apple, are solely responsible for the investigation, defense, settlement and discharge of that claim.
- Legal compliance and export. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
- Developer name and address. Questions, complaints or claims about the app should be directed to: [OWNER: developer legal name], [OWNER: postal address]; email support@boralabs.app; telephone [OWNER: telephone number].
- Third-party terms. You must comply with applicable third-party terms of agreement when using the app, for example your wireless data service agreement.
- Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
17. Google Play additional terms
If you got the app from Google Play, these additional terms apply.
- These Terms are between you and us only, not Google LLC or its affiliates ("Google"). We, not Google, are responsible for the app, its content, maintenance and support.
- Insider Ledger Pro is billed through Google Play Billing. Purchases, renewals, free trials, cancellations and refunds are handled by Google Play under the Google Play Terms of Service and its payment and refund policies. Manage or cancel your subscription in Google Play subscriptions.
- Your use of Google Play is governed by the Google Play Terms of Service, which take precedence over these Terms for anything about Google Play itself.
